By creating an account, connecting a platform, or using the Service, you agree to be bound by these Terms.

If you use the Service on behalf of a legal entity, you represent that you have authority to bind that entity.

3. ELIGIBILITY AND BUSINESS USE

The Service is intended for business and professional use. You agree to use the Service only in compliance with applicable laws, regulations, and third-party platform requirements.

4. SERVICE DESCRIPTION

JOBWIN provides a lead and communication operating platform for service businesses, including integration management, lead workflows, scheduling, and AI-assisted features.

We may change, expand, reduce, or discontinue features at any time.

5. ACCOUNTS, WORKSPACES, AND SECURITY

You must provide accurate account information and keep credentials confidential.

You are responsible for all activity under your account and workspace, including actions taken by your authorized users.

You must promptly notify us of any unauthorized access or suspected breach.

6. ROLE AND ACCESS ADMINISTRATION

Workspace owners and administrators control role assignments, access permissions, and integration settings.

You are responsible for your internal user management and for disabling access when no longer authorized.

7. THIRD-PARTY PLATFORMS, OAUTH, AND INTEGRATIONS

JOBWIN may connect with third-party services such as Thumbtack and other supported platforms.

By connecting integrations, you authorize us to access, receive, process, and display integration data according to granted scopes and permissions.

You represent and warrant that you have all rights and permissions needed to connect and use third-party accounts with JOBWIN.

• Third-party platforms operate under their own terms and policies.
• We are not responsible for third-party outages, API changes, policy changes, or account restrictions.
• Revoked permissions or disconnected accounts may stop related workflows.

8. CUSTOMER DATA AND CONTENT

You retain ownership of your customer data and business content.

You grant Runx Inc. a limited, non-exclusive license to host, process, transmit, and use that data solely to provide, secure, maintain, and improve the Service.

You are responsible for legality, quality, and accuracy of submitted data.

9. COMMUNICATIONS AND COMPLIANCE

You are solely responsible for communications sent from your account, whether manual, scheduled, or automation-assisted.

You must obtain and maintain all legally required consent, notice, and opt-out handling for SMS, email, and similar channels, and comply with applicable law and platform rules.

10. AI-ASSISTED FEATURES

JOBWIN may provide AI-generated drafts, summaries, labels, recommendations, or workflow assistance.

AI outputs may be inaccurate, delayed, incomplete, non-compliant, or inappropriate for specific contexts.

You remain solely responsible for reviewing and approving AI outputs before use.

11. FEES, BILLING, AND TAXES

Certain features may require subscription fees, usage-based pricing, or add-on charges.

You agree to pay all applicable fees and taxes. Where billing is enabled, you authorize us and our payment providers to charge your payment method.

Unless otherwise stated in writing, fees are non-refundable.

12. TRIALS AND PROMOTIONS

Trials and promotional offers may be subject to limits and eligibility conditions and may be changed or discontinued at any time.

13. ACCEPTABLE USE

You agree not to use the Service to:

• violate law, regulation, or third-party platform rules;
• send unlawful, deceptive, abusive, harassing, or infringing communications;

• interfere with Service security, integrity, or availability;
• reverse engineer or misuse the Service in unauthorized ways;
• upload malware or malicious content.

14. INTELLECTUAL PROPERTY

The Service, including software, interfaces, design, and branding, is owned by Runx Inc. or its licensors and is protected by intellectual property law.

No rights are granted except as expressly set out in these Terms.

15. FEEDBACK

If you submit feedback, suggestions, or ideas, you grant Runx Inc. a worldwide, perpetual, irrevocable, royalty-free right to use them without restriction or compensation.

16. CONFIDENTIALITY

Each party may receive confidential information. The receiving party will use reasonable care to protect it and use it only for purposes related to these Terms, except where disclosure is required by law.

17. SERVICE AVAILABILITY AND CHANGES

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation.

Scheduled maintenance, emergency maintenance, and third-party dependency failures may affect availability.

18. SUSPENSION AND TERMINATION

We may suspend or terminate access where necessary for legal compliance, security, abuse prevention, non-payment, or breach of these Terms.

You may stop using the Service at any time, subject to outstanding payment obligations.

19. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

20. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUNX INC. IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF USD 100 OR THE FEES PAID BY YOU TO RUNX INC. IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

21. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Runx Inc. and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, losses, and expenses arising from your use of the Service, your data, your communications, your integrations, or your violation of law or these Terms.

22. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Illinois, excluding conflict-of-law principles.

Unless otherwise required by applicable law, disputes must be brought in courts located in Cook County, Illinois.

23. EXPORT CONTROLS AND SANCTIONS

You agree not to use the Service in violation of export control or sanctions laws and represent that you are not prohibited from receiving the Service under applicable law.

24. FORCE MAJEURE

Neither party is liable for delays or failures caused by events beyond reasonable control, including outages, natural disasters, labor disputes, or acts of government.

25. ASSIGNMENT

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with merger, acquisition, reorganization, or asset transfer.

26. CHANGES TO THESE TERMS

We may update these Terms from time to time. Updated terms are effective when posted, unless a later effective date is stated.

Continued use of the Service after updates become effective constitutes acceptance of the revised Terms.
